Terms and conditions of use

Acceptance

These terms govern access to and use of jipsoft.com and, where applicable, cloud services offered under the FactuSync, FerroSync, MediSync, and other brands marketed by Jipsoft.

By accessing the site or subscribing to a plan, you accept these terms as in force. If you act on behalf of a company, you represent that you have authority to bind it.

Description of services

FactuSync is an electronic invoicing solution aimed at regulatory compliance in Ecuador through APIs and related tools. FerroSync focuses on inventory and hardware-store operations. MediSync is a clinical management and electronic health record solution with remote patient monitoring (HIS + RPM). The exact scope depends on your plan and applicable documentation.

Jipsoft may improve, change, or discontinue features, giving notice when law or contract requires.

Eligibility

The services are intended for adults and for companies or professionals with legal capacity to contract. By registering you represent that you meet these requirements and, if you act for an organization, that you have authority to bind it.

Registration and credentials

You are responsible for the accuracy of registration data and for keeping passwords, API keys, and digital certificates confidential.

You must promptly notify us of unauthorized use of your credentials. Jipsoft is not liable for losses resulting from failure to meet this obligation.

Acceptable use

You must not use the services in ways that violate Ecuadorian law, third-party rights, or platform security. Examples include:

  • No malware distribution, attacks, or unauthorized testing that harms availability.
  • No impersonation or fraudulent manipulation of vouchers or records.
  • No large-scale scraping of the site without authorization.
  • Respect technical limits in the documentation (API, sandbox/production, etc.).

Payments and billing

Except for free plans, the services are paid. Prices are published in United States dollars (USD) and do not include VAT; applicable taxes are added at the current SRI rate. The specific conditions of your plan prevail as contracted.

  • Billing cycles: FerroSync supports a monthly or annual cycle; FactuSync bills annually in advance on its paid plans (the free plan is monthly); MediSync supports a monthly or annual cycle.
  • Billing is currently handled manually via bank transfer; there is no automatic renewal or automatic charge.
  • Enterprise plans have a price negotiated per customer based on volume and scope.
  • Non-payment may suspend or limit the service in accordance with the suspension and termination section.

Cancellation and refunds

You may cancel the service with thirty (30) days' notice. After cancellation you will have a period of up to sixty (60) days to export your information before it is deleted, except for what we must retain by legal obligation.

  • Prepaid annual plans are not refundable for unused months, except by explicit contractual agreement.
  • The implementation fee (Setup Fee) is not refundable once the onboarding process has begun.
  • When you cancel FactuSync, API keys are revoked at the end of the subscription and integrations stop working.

The terms of a signed written enterprise agreement prevail over this section where applicable.

Intellectual property

The site, brands, design, documentation, and Jipsoft software are protected by copyright and industrial property laws. No license is granted beyond what is necessary to use the services as contracted.

Data and documents you upload remain yours; Jipsoft only processes them to perform the service.

User responsibility and indemnification

You are solely responsible for the data, documents, and content you upload or generate in the services, for their accuracy and lawfulness, and for obtaining any necessary third-party authorizations (customers, patients, or suppliers). Jipsoft does not verify or validate such content.

You agree to hold Jipsoft harmless against claims, penalties, or damages arising from misuse of the services, from the content you enter —including false data or malicious files— or from the management you make of that data outside the platform.

Artificial intelligence and analytics features

Some products include machine-learning and analytics features (for example, FerroSync inventory predictions or MediSync clinical signals). Their results are supporting estimates, may contain errors, and do not constitute professional advice.

MediSync's clinical features do not replace the judgment of the healthcare professional, who is solely responsible for clinical decisions. Business predictions do not replace your own commercial or accounting judgment.

Suspension and termination

Jipsoft may suspend or terminate access, in whole or in part, in case of breach of these terms, non-payment, misuse, or risk to the security or integrity of the platform or of third parties, seeking to give notice when reasonable and permitted by law.

Limitation of liability

To the fullest extent permitted by law, services are provided “as is.” Jipsoft does not guarantee uninterrupted availability or error-free use in every scenario. Liability for direct damages is limited to fees paid by the customer in the twelve (12) months before the claim, except where mandatory law provides otherwise.

We are not liable for delays or rejections caused by SRI systems, your connectivity, or force majeure.

Jipsoft is not responsible for content uploaded by users or for the consequences of false, inaccurate, or unlawful data they enter.

Governing law and jurisdiction

These terms are governed by the laws of the Republic of Ecuador. The parties submit to the competent courts of Quito canton, except where mandatory consumer rules provide otherwise.

A separate enterprise agreement in writing prevails over this document where they conflict.
